CHAICON.COM Terms & Conditions

Platform: Chaicon.com (the “Platform”)
Owned and funded by: Rivoh LLC-FZ (Dubai, United Arab Emirates).
Operated in Pakistan by: Azad Chaiwala SMC (Private) Limited under an operational partnership arrangement.
Contracting entity: Unless stated otherwise, these Terms are between you and Rivoh, and the Local Operator may enforce these Terms on Rivoh’s behalf and/or in its own name where applicable.
Rivoh and Azad Chaiwala SMC (Private) Limited are collectively referred to as “ChaiCon”, “we”, “us”, or “our”.
1. Acceptance of Terms
By accessing or using the Platform, you agree to these Terms & Conditions. If you do not agree, you must not use the Platform.
If you use the Platform on behalf of a business or company, you confirm that you have the authority to bind that entity to these Terms.
2. Definitions
- Buyer: A user seeking to buy, source, request, or enquire.
- Seller: A user offering products, services, manufacturing, wholesale, distribution, or franchises.
- User: Any person or entity using the Platform.
- Listing: Any posted profile, product, service, factory, distributor, franchise, or similar entry.
- Buyer Request: A public request posted by a Buyer describing what they need, usually with contact details.
- User Content: Anything a user submits or displays on the Platform (text, images, contact info, documents, claims, etc).
- Transaction: Any negotiation, agreement, payment, delivery, refund, dispute, relationship, or communication between Users, whether initiated via the Platform or not.
3. What ChaiCon Is (and Is Not)
- Connector and directory only.
- No commission, no brokerage, no agency
- Not a party to your deal
ChaiCon is a discovery and connection platform. We publish Listings, publish Buyer Requests, and help Users find and contact each other.
We do not charge commission on Transactions and we do not act as a broker, agent, representative, partner, mediator, escrow, or guarantor for any User.
All Transactions are strictly between Users. ChaiCon is not a party to any contract, invoice, purchase order, franchise agreement, distribution agreement, manufacturing agreement, or any other arrangement between Users.
4. Your Responsibilities (Due Diligence)
You agree to do your own checks before entering any Transaction, including (where relevant):
- Verifying identity, ownership, licenses, and certifications.
- Inspecting facilities, samples, quality, and capacity.
- Using written contracts and clear payment terms.
- Using secure payment practices appropriate for your risk level.
You accept that business involves risk, and you are solely responsible for your decisions and outcomes.
5. Accounts and Eligibility
- You must be at least 18 years old to use the Platform.
- You are responsible for keeping your login secure and for all activity under your account.
- You must provide accurate information and keep it updated.
6. Listings & Buyer Requests
- Listings (Sellers)
- Buyer Requests (public by design)
- You accept the public-contact risk
If you create a Listing, you confirm you have the legal right to offer what you list, and that your Listing is accurate and not misleading.
Buyer Requests may be publicly visible and may include your contact details. By posting a Buyer Request, you explicitly consent to public display of the information you submit.
You understand that public contact details can attract spam, scams, fraudulent offers, unwanted calls, and low-quality proposals. ChaiCon is not responsible for messages, calls, meetings, or outcomes resulting from public postings.
7. Franchise Listings and Enquiries
Franchise Listings are provided by Users or third parties. ChaiCon:
- Does not endorse any franchise.
- Does not guarantee profitability, legality, licensing, disclosures, or performance.
- Does not provide investment, legal, or financial advice.
You must obtain independent professional advice before paying any fee or signing any agreement.
8. Business Chamber Wars (activity tracking feature)
“Business Chamber Wars” is a public feature showing activity indicators (such as listing counts or participation). Unless clearly stated otherwise:
- It is not affiliated with or endorsed by any chamber or government body.
- Metrics may be delayed, estimated, incomplete, or based on user-submitted data.
- we may change criteria, recalculate, correct, pause, remove, or replace this feature at any time.
You agree not to rely on this feature as an authoritative measurement.
9. Research Tool and Search Insights
The Platform may display aggregated insights based on searches and activity. These insights:
- Are informational only.
- May be incomplete or inaccurate.
- Are not professional advice.
You use them at your own risk.
10. Fees and Refund Policy
If we offer paid subscriptions, featured placements, advertising, verification services, upgrades, or similar paid services, those fees are for platform access, listing visibility, promotional exposure, and related platform benefits only. They do not guarantee leads, deals, sales, revenue, profit, contracts, or any specific commercial outcome.
10.1 Results-Based Refund Guarantee
Where expressly stated by Chaicon.com for a particular paid plan, package, or service, we may offer a results-based refund guarantee.
For the purposes of this Clause, “Results” means any measurable activity, visibility, or engagement relating to the customer’s business, account, profile, listings, products, or services through the Platform, as recorded by our systems. Results may include, without limitation, profile views, product views, listing impressions, enquiries, messages, contact requests, calls, buyer interest, or other trackable interactions or engagement. The existence of Results shall not automatically prevent a refund claim. If the Results generated during the applicable guarantee period are, in Chaicon.com’s reasonable opinion, minimal, limited, or insubstantial, Chaicon.com may approve a refund, partial refund, service extension, or other remedy.
If the Results generated are, in Chaicon.com’s reasonable opinion, moderate, meaningful, or reasonably significant, any refund or other remedy shall be entirely at Chaicon.com’s discretion.
For the purposes of this Clause, Chaicon.com shall determine the nature, level, quality, and significance of Results by reference to its internal records, analytics, logs, and platform data.
10.2 When the Guarantee Period Begins
Any refund guarantee period shall not begin during any free trial period, complimentary access period, promotional free period, beta period, soft launch period, testing period, or any period in which Chaicon.com, or the relevant paid service, is not yet fully live for normal public use.
The 12-month guarantee period shall begin only from the later of:
- The date the relevant paid subscription or service begins after the end of any free trial, free period, or promotional access period; or
- The date Chaicon.com, or the relevant paid service, officially exits beta and becomes fully live for normal public use.
10.3 No Refund Request During First 12 Months
No refund may be requested, claimed, or processed during the first 12 months of the applicable guarantee period.
A refund request may only be submitted after the full 12 month guarantee period has expired, and only where the customer satisfies all conditions set out in this Clause.
10.4 Eligibility Conditions
A customer shall only be eligible for any refund under this Clause if all of the following conditions are satisfied:
- The guarantee was expressly offered by Chaicon.com for the relevant paid service, plan, or package.
- The customer has paid all applicable fees in full and on time.
- The customer’s account remained active and in good standing throughout the relevant period.
- The customer provided accurate information and maintained a reasonably complete and usable profile and/or listings.
- The customer responded in a timely manner to enquiries, messages, and onboarding or support requests where applicable.
- The customer complied with these Terms and all other platform policies, and
- The absence of Results was not caused, wholly or partly, by the customer’s own acts, omissions, inactivity, incomplete listings, poor quality content, failure to respond, suspension, breach, or any circumstance outside Chaicon.com’s reasonable control.
10.5 Chaicon.com’s Right to Extend Time or Provide Alternative Remedy
Before issuing any refund, Chaicon.com reserves the right, at its sole discretion, to provide an alternative remedy instead of an immediate refund, including but not limited to:
- Extending the subscription or service period free of charge.
- Granting additional promotional time, visibility, support, or exposure, or
- allowing further reasonable time for Results to be generated.
Any such additional free time, extension, or support may be provided in lieu of immediate compensation.
If, after such extension or additional remedy, no Results whatsoever are generated, Chaicon.com may then issue a refund in accordance with this Clause.
10.6 Refund Amount
Where a refund is approved under this Clause, the refund shall be limited to 100% of the amount actually paid by the customer for the specific qualifying paid service, plan, or package to which the guarantee applied.
No refund shall include any indirect loss, loss of profit, loss of opportunity, marketing spend, third party costs, business losses, expectation losses, or any amount not actually paid to Chaicon.com.
10.7 Chaicon.com Records and Decision
All decisions relating to this refund policy, including whether the guarantee applies, whether the guarantee period has started or expired, whether any Results were generated, and whether the customer has satisfied the eligibility conditions, shall be made by Chaicon.com acting reasonably and by reference to its internal records, analytics, logs, systems, and platform data, which shall be final for these purposes.
10.8 Time Limit for Refund Requests
Any refund request under this Clause must be submitted in writing within 60 days after the end of the applicable 12-month guarantee period. If no request is made within that time, the right to request a refund shall expire.
10.9 Limited Application
This results-based refund guarantee does not apply automatically to all payments or services. It applies only where Chaicon.com has expressly stated that a particular paid plan, package, or service is covered by such guarantee.
Unless expressly stated otherwise by Chaicon.com in writing, all fees are non-refundable except where required by applicable law.
11. Listing Rules and Prohibited Conduct
Your use is also governed by our Listing Rules + Prohibited Items Policy. Breaches may lead to removal, suspension, or termination.
You must not:
- Engage in fraud, impersonation, deception, or misrepresentation
- Post illegal, restricted, or infringing items/services
- Harvest contact details or spam Users
- Upload malware or attempt to compromise the Platform
- Harass, threaten, or abuse others.
12. User Content License
You keep ownership of your User Content, but you grant ChaiCon a worldwide, royalty-free, sublicensable license to host, store, reproduce, display, publish, translate, distribute, and promote your User Content to operate and market the Platform.
You confirm you have all rights needed to grant this license.
13. Intellectual Property (Platform)
The Platform, software, layout, database structure, and our branding are owned by ChaiCon or licensors. You may not copy, scrape, reverse engineer, resell, or commercially exploit Platform content or data without written permission.
14. Third-Party Links
We may link to third-party sites or services. We do not control them and are not responsible for them. Use them at your own risk.
15. Privacy
Your use is governed by our Privacy Policy, which explains how we collect, use, and share information, including what you publish publicly.
16. Disclaimers (No warranties)
To the maximum extent permitted by law:
- The Platform is provided “as is” and “as available”
- We make no warranties (express or implied) about accuracy, availability, uptime, suitability, or results
- We do not guarantee any User’s identity, legitimacy, quality, delivery capability, payment capability, or compliance.
17. Limitation of Liability
To the maximum extent permitted by law, ChaiCon (including Rivoh, the Local Operator, and their respective owners, directors, officers, employees, contractors, affiliates, agents and partners) is not liable for:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages,
- Loss of profits, revenue, contracts, customers, goodwill, reputation, data, or business opportunity
- Disputes between Users, fraud, misrepresentation, counterfeit goods, poor quality, non-payment, delays, chargebacks, refunds, or contract breaches
- Outcomes arising from public postings or public contact details,
- Reliance on Business Chamber Wars or research insights
If any liability cannot be excluded, our total aggregate liability will be limited to the greater of:
- Amounts paid by you to ChaiCon in the 3 months before the event giving rise to the claim, or
- PKR [10,000]
18. Indemnity (you protect ChaiCon)
TYou agree to defend, indemnify, and hold harmless ChaiCon from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:
- Your use of the Platform
- Your User Content (Listings, Buyer Requests, claims, media, contact info),
- Your Transactions and disputes with other Users
- Your violation of law or third-party rights (IP, privacy, consumer rights, product liability, franchise rules, advertising rules)
19. Release (disputes are between Users)
To the maximum extent permitted by law, you release ChaiCon from claims arising out of disputes between Users. Your remedy is against the other User, not ChaiCon.
20. Removal, Suspension, and Termination
We may remove content, suspend accounts, restrict features, or terminate access at any time if we believe you:
- Violated these Terms or the Listing Rules,
- Created legal risk for the Platform
- Engaged in harmful conduct, or
- If required by law.
21. Changes to Platform and Terms
We may change, suspend, or discontinue parts of the Platform at any time. We may update these Terms by posting a revised version and updating the “Last updated” date. Continued use means acceptance.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of Pakistan. Courts located in Mirpur, Azad Kashmir, Pakistan have exclusive jurisdiction unless ChaiCon chooses another lawful forum.
You agree that Rivoh LLC-FZ and/or the Local Operator may bring claims in Pakistan or any other court of competent jurisdiction
